⚠ 본 문서는 초안(스텁)입니다 — 실제 조항은 법무 검토 후 확정됩니다.
This English text is a convenience translation. The Korean version is the binding original; if the two differ, the Korean version prevails.

Article 1 (Purpose)

These Terms set out the rights, obligations and responsibilities between Automagica Co., Ltd. ("the Company") and users in connection with the use of the CargoOn service ("the Service").

Article 2 (Order of precedence)

Where the Company and a customer have entered into a separate B2B service agreement, the terms of that agreement prevail over these Terms. These Terms supplement matters the individual agreement does not address.

Article 3 (The Service)

The Company provides cargo operations (tracking, documents, dispatch), settlement and related automation features. The specific scope follows the individual agreement and the Service screens.

Article 4 (User obligations)

  • Keeping account information accurate and safeguarding passwords
  • Ensuring the accuracy and lawfulness of data uploaded to or entered in the Service
  • Where third-party personal information (consignees, drivers and the like) is uploaded, holding a lawful basis for that processing (in which case the customer is the controller and the Company acts as processor)

Article 5 (Suspension of the Service)

The Company may temporarily suspend the Service for reasons such as system maintenance, faults or force majeure, and will give notice before or after the event.

Article 6 (Limitation of liability)

The Company bears liability to the extent permitted by applicable law. The scope of damages and exclusions is as set out in the individual agreement (Art. 2); where the individual agreement is silent, the following applies.

  • The Service is provided "as is", and to the extent permitted by law the Company disclaims implied warranties of merchantability and fitness for a particular purpose.
  • ⚠ AI-generated outputs (document extraction results, automatically drafted documents and email drafts, and the like) are provided for convenience and presuppose the user's review. The user remains responsible for the accuracy of documents and filings that go out externally.
  • The Company is not liable for indirect, special or consequential damages, or for lost profits.
  • The Company's total aggregate liability will not exceed the fees the user actually paid the Company in the three (3) months immediately preceding the event giving rise to the claim.
  • Liability for wilful misconduct or gross negligence, and any other liability that cannot be limited under applicable law, is not subject to the limitations above.

Article 7 (Governing law and jurisdiction)

These Terms are governed by the laws of the Republic of Korea, and the court having jurisdiction over disputes relating to use of the Service is the court with jurisdiction over the location of the Company's head office.

⚠ Where an individual agreement specifies a different governing law or forum, that agreement prevails (Art. 2). For example, service agreements entered into with customers in the United States typically specify the law and courts of that country.
